Terms of Use

These Terms govern your use of Baton. By creating an account or using the platform, you agree to them. Read them carefully — especially the sections on payment and liability.

1Acceptance

By accessing or using Baton, you confirm that you have read and agree to these Terms and the Privacy Policy. If you use Baton on behalf of a company, you confirm you have authority to bind it to these Terms. If you do not agree, do not use the platform.

2What Baton is

Baton is a layer of intelligence and governance that operates above the official MCPs and APIs of the ad platforms. It lets an AI agent run actions on your accounts within the limits you set (the Vault), consolidates metrics across platforms, suggests and simulates changes, and keeps an audit trail.

Important: Baton conducts — it does not receive, hold, or move your media budget. Ad payments happen directly between you and each platform. The decisions and the limit configuration are your responsibility.

3Account and sign-up

  • You are responsible for providing accurate information and keeping it up to date.
  • You are responsible for protecting your credentials and for all activity on your account.
  • Notify us immediately of any unauthorized use.

4Plans and payment

  • Billing: plans are billed on a recurring (monthly) basis by card, processed by Stripe. The price and limits of each plan are those shown on the Pricing page at the time you subscribe.
  • Renewal: your subscription renews automatically at the end of each cycle unless cancelled beforehand.
  • Cancellation: you can cancel anytime; access remains through the end of the cycle already paid, with no new charges.
  • Refunds: except where required by law, fees already paid for a started period are non-refundable. Any statutory cancellation or cooling-off rights that apply to you are preserved.
  • Price changes: prices may change; we will give advance notice and changes apply to the following cycle.

5Acceptable use

You agree not to:

  • use Baton for unlawful purposes or in ways that violate the policies of the connected ad platforms;
  • attempt to bypass limits, access third-party accounts without authorization, or compromise the platform's security;
  • reverse-engineer, resell, or sublicense the service without authorization;
  • overload the infrastructure with abusive automated use outside the intended integrations.

6Third-party connections

Baton integrates with third-party services (Google, Meta, TikTok, LinkedIn, Stripe, WhatsApp, Slack, among others) through official authentication (OAuth). Use of those services is subject to each one's terms and policies. Baton is not responsible for outages, API changes, or decisions by those platforms, which may affect functionality.

7Intellectual property

The software, brand, design, and content of Baton belong to the company and are protected by law. These Terms grant you a limited, non-exclusive, non-transferable license to use the service for the duration of your subscription. The data from your accounts and campaigns remains yours.

8Limitation of liability

Baton is a decision-support and governance tool — it does not guarantee campaign results. Ad performance depends on many factors outside our control. The agent's actions operate within the limits you configure and under your supervision.

To the maximum extent permitted by law, Baton is not liable for lost profits, lost opportunity, or indirect damages. In any case, our total liability is limited to the amount you paid in the 12 months before the event. Nothing in these Terms excludes liability that cannot be excluded by law.

9Availability

We work to keep the platform available and secure, but the service is provided "as is." We may perform maintenance, updates, and adjustments. Specific plans may include their own SLA, defined by contract.

10Termination

You can close your account at any time. We may suspend or terminate access in case of a breach of these Terms, misuse, or legal requirement. Once the account is closed, the retention and deletion rules in the Privacy Policy apply.

11Governing law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules. The state and federal courts located in Delaware will have exclusive jurisdiction, except where mandatory consumer-protection law grants you the right to your local courts.
